  • Directors establishes the vesting period over which SSARs are subject to a service condition and the vesting criteria for SSARs subject to a market condition.
  • On September 1, 2026 (the "Acquisition Date"), we acquired all the issued and outstanding shares of Gaming Hospitality Solutions, Inc. (“GHS”), a hospitality software company based in Denver, Colorado. GHS is now a wholly-owned subsidiary of Agilysys, Inc. The condensed consolidated financial statem…
  • The purchase price consisted of $0.9 million of cash consideration paid at closing, funded with cash on hand, and $0.2 million in contingent consideration liabilities representing the fair value of estimated amounts payable to the seller. We allocated the purchase price for GHS to the intangible and…
  • We determined the fair value assigned to the identifiable intangible asset acquired, customer relationships, by using the income approach, which discounts the expected future cash flows to present value using estimates and assumptions determined by management.
  • We assigned the acquired customer relationships an estimated useful life of 10 years. The identifiable intangible asset acquired amortizes on a straight-line basis, which we believe approximates the pattern in which the asset is utilized, over its estimated useful life.

How to read Risk Factors (Item 1A) in a 10-Q

A 10-Q risk-factor section usually takes one of three forms; this page classifies it as one of:

  • Pointer — the filer states there have been no material changes and points back to the annual 10-K risk factors; there is no own risk text to compare this quarter.
  • Partial update — the filer carves out specific updated risks ("except as set forth below"); the excerpts show exactly what is new this quarter.
  • Restated in full — the quarter carries the complete risk-factor text. When the prior quarter was only a pointer there is no prior full text to diff against, so the page flags the section as restated instead.

This describes the filing structure only — it is never a judgement on whether risk went up or down.
